NuruBooks Terms of Use

Welcome to NuruBooks. These Terms of Use (“Terms”) govern your access to and use of the NuruBooks platform, including our accounting software, cloud services, websites, mobile applications, payroll tools, inventory systems, budgeting modules, APIs, and related services (“Services”).
These Terms were developed using industry-standard SaaS and accounting platform structures and adapted specifically for the NuruBooks ecosystem.
1. Acceptance of Terms
By accessing, registering for, subscribing to, or using NuruBooks, you agree to these Terms and all related policies, including the NuruBooks Privacy Policy and Software License Agreement.
If you do not agree to these Terms, you must stop using the Services immediately.
If you use NuruBooks on behalf of a business, organization, or client, you represent that you have authority to bind that entity to these Terms.
2. About NuruBooks
NuruBooks is a cloud accounting and business management platform designed to help businesses:
manage bookkeeping,
automate accounting,
process payroll,
tack inventory,
manage budgets,
generate financial reports,
monitor taxes,
and operate financial workflows digitally.
Certain features may be offered as standalone modules, subscription services, integrations, beta releases, or third-party connected services.
3. Eligibility
To use NuruBooks, you confirm that:
you are at least 18 years old;
you can legally enter into binding agreements;
you are not prohibited from using the Services under applicable law;
and the information you provide is accurate and current.
4. User Accounts
You may be required to create an account to access certain Services.
You agree to:
provide accurate registration information;
maintain updated account details;
protect your login credentials;
and take responsibility for all activities occurring under your account.
NuruBooks may verify your identity and business information where necessary.
You must notify us immediately if you suspect unauthorized account access.
5. Subscription Services & Billing
Certain NuruBooks Services require paid subscriptions.
By subscribing, you authorize NuruBooks to:
charge recurring subscription fees,
process payments using your selected payment method,
and automatically renew subscriptions unless cancelled.
Unless otherwise stated:
subscriptions renew automatically,
cancellations take effect at the end of the billing period,
and fees already paid are non-refundable.
NuruBooks reserves the right to adjust pricing, provided reasonable notice is given before changes take effect.
6. Permitted Use
You may use NuruBooks only for lawful business and accounting purposes, including:
bookkeeping,
payroll processing,
invoicing,
budgeting,
tax tracking,
financial reporting,
inventory management,
and related business operations.
You agree not to misuse the platform or use it for unlawful or fraudulent purposes.
7. Prohibited Activities
You must NOT:
reverse engineer or copy the Services;
interfere with platform security;
upload harmful code or malware;
use automated tools to scrape data;
attempt unauthorized access;
misuse APIs or integrations;
infringe intellectual property rights;
or use NuruBooks for illegal financial activity.
NuruBooks may suspend or terminate accounts that violate these Terms.
8. User Content & Business Data
You retain ownership of your accounting records, business data, uploaded documents, and other content submitted into NuruBooks (“User Content”).
You grant NuruBooks a limited license to:
host,
store,
process,
backup,
transmit,
and display
your User Content solely for purposes related to operating and improving the Services.
You are solely responsible for:
· maintaining accurate records,
· complying with tax and accounting laws,
· and ensuring your uploaded content is lawful.
9. Cloud Services & Availability
NuruBooks operates as a cloud-based service.
While we aim for reliable uptime, we do not guarantee uninterrupted access. Services may occasionally experience:
maintenance,
outages,
updates,
performance interruptions,
or feature modifications.
Features may be added, changed, or discontinued without notice.
10. Beta Features & Experimental Tools
NuruBooks may provide:
beta tools,
preview features,
experimental modules,
AI-powered services,
or early-access functionality.
These features are provided “as is” and may change or be discontinued at any time.
11. Payroll, Tax & Financial Features
NuruBooks may offer payroll, tax estimation, statutory deductions, or financial reporting tools.
You acknowledge that:
calculations may depend on information you provide;
tax estimates are informational only;
and you remain responsible for verifying compliance with applicable laws and regulations.
NuruBooks does not guarantee that reports or calculations satisfy all legal, audit, or tax filing requirements.
12. Third-Party Integrations
NuruBooks may integrate with:
banks,
payment processors,
tax systems,
messaging providers,
accounting tools,
APIs,
and other third-party services.
Your use of third-party services may be subject to separate agreements and policies.
NuruBooks is not responsible for third-party systems, availability, or performance.
13. Intellectual Property
All rights, title, and interest in NuruBooks, including:
software,
trademarks,
branding,
logos,
workflows,
designs,
source code,
and platform content,
remain the exclusive property of NuruBooks and its licensors.
You may not reproduce or redistribute NuruBooks intellectual property without written permission.
14. Privacy & Data Protection
Your use of NuruBooks is subject to the NuruBooks Privacy Policy.
By using the Services, you consent to the collection and processing of information as described in the Privacy Policy.
15. Suspension & Termination
NuruBooks may suspend or terminate your access if:
you breach these Terms,
misuse the platform,
fail to pay subscription fees,
create legal or security risks,
or engage in fraudulent activities.
You may stop using the Services at any time.
Upon termination:
your access rights end immediately,
but certain obligations and retained data provisions may survive termination.
16. Disclaimers
The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, NuruBooks disclaims warranties relating to:
uninterrupted service,
data accuracy,
merchantability,
fitness for a particular purpose,
and non-infringement.
NuruBooks does not provide legal, audit, tax, or professional financial advice unless explicitly stated.
17. Limitation of Liability
To the maximum extent permitted by law, NuruBooks shall not be liable for:
indirect or consequential losses,
loss of profits,
tax penalties,
business interruption,
or loss of data arising from use of the Services.
Total liability shall not exceed the amount paid by the user to NuruBooks during the previous 12 months.
18. Indemnification
You agree to indemnify and hold harmless NuruBooks from claims, liabilities, damages, and expenses arising from:
your use of the Services,
violation of these Terms,
unlawful activities,
or infringement of third-party rights.
19. Governing Law
These Terms shall be governed by the laws of the Republic of Uganda unless otherwise required by applicable international law.
Disputes shall be resolved through competent courts located in Uganda.
20. Changes to These Terms
NuruBooks may update these Terms periodically.
Updated versions become effective once posted on the platform or website.
Your continued use of the Services after changes means you accept the revised Terms.
